An Act respecting
Conrad Grebel University College
Preamble
The Board of Governors of Conrad Grebel College has applied for special legislation to change its name and to change the composition of the board of governors.
It is appropriate to grant the application.
Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:
1. Sections 1 and 2 of the Conrad Grebel College Act, 1988 are repealed and the following substituted:
Definitions
1. In this Act,
"alumni association" means such organization of alumni as is from time to time recognized by by-law by the Board;
"Board" means the Board of Governors of the College;
"faculty" means all persons employed by the College on a full-time basis for teaching or research or both;
"students" means those persons who are registered as students or who live in a residence operated by the College.
College continued, new name
2. (1) Conrad Grebel College is hereby continued as a corporation without share capital under the name of "Conrad Grebel University College" and is composed of the members of its Board of Governors.
Effect
(2) The re-enactment of this section by section 1 of the Conrad Grebel University College Act, 2001 does not affect,
(a) the property, rights, privileges and powers of the College that were continued by, and vested in the College by, subsection 2 (2) as it read immediately before being re-enacted by section 1 of the Conrad Grebel University College Act, 2001;
(b) the liabilities and the benefits and burdens of all contracts and covenants that were continued by, and assumed by the College by, subsection 2 (2) as it read immediately before being re-enacted by section 1 of the Conrad Grebel University College Act, 2001; and
(c) the by-laws, regulations, resolutions and appointments of the College that were continued by subsection 2 (3) as it read immediately before being repealed by section 1 of the Conrad Grebel University College Act, 2001.
2. Section 6 of the Act is repealed and the following substituted:
Composition of the Board
6. (1) The Board of Governors of the College is composed of the following persons:
1. The president of the College.
2. Nine members to be elected by the Mennonite Conference of Eastern Canada.
3. One member to be appointed by the alumni association from among the members of the alumni association.
4. One member to be appointed by the faculty from among the members of faculty.
5. One member to be appointed by the students from among the students.
6. Such other members, not exceeding four in number, as may be appointed by the other members of the Board.
Eligibility
(2) Only Canadian citizens or permanent residents within the meaning of the Immigration Act (Canada) are eligible to hold office as Board members.
Change in composition
(3) The Board may, by a by-law of the Board, increase the size of the Board to a maximum of 22 members, with the appointment of the additional members to be determined by a by-law of the College.
Restriction
(4) The size of the Board cannot be increased in such a way that the members appointed by the students, faculty and staff of the College constitute a majority of members of the Board.
Term of office
(5) Board members appointed under paragraph 4 or 5 of subsection (1) hold office for three years and are eligible to be reappointed for a maximum of one additional consecutive term.

(6) Board members elected under paragraph 2 of subsection (1) or appointed under paragraph 3 or 6 of subsection (1) hold office for three years and are eligible to hold office for a maximum of one additional consecutive term.
Quorum
(7) The quorum for the transaction of business by the Board may be established by a by-law of the Board.
Duty of the Board
6.1 The Board shall manage the affairs of the College.
3. Section 11 of the Act is repealed and the following substituted:
Dissolution
11. Upon the dissolution of the College and after all its debts and liabilities are paid, the remaining property of the College shall be given to the Mennonite Conference of Eastern Canada or its successor.
Commencement
4. This Act comes into force on the day it receives Royal Assent.
Short title
5. The short title of this Act is the Conrad Grebel University College Act, 2001.
