An Act respecting Eastern Pentecostal Bible College
Preamble
Eastern Pentecostal Bible College has applied for special legislation to amend the citizenship requirements for membership on its Board of Governors, the eligibility requirements for officers of its Board of Governors, the membership of the Executive Committee of its Board of Governors (formerly referred to as the Board of Administration) and the degrees that it may grant. The applicant was incorporated by special legislation in 1983, which was amended by special legislation in 1991.
It is appropriate to grant the application.
Therefore, Her Majesty, by and with the advice and consent of the Legislative Assembly of the Province of Ontario, enacts as follows:
1. Sections 4, 5 and 6 of the Eastern Pentecostal Bible College Act, 1983, as re-enacted by the Statutes of Ontario, 1991, chapter Pr5, section 1, are repealed and the following substituted:
Board of Governors
4. (1) The affairs of the College shall be managed by the Board of Governors of the College.
Composition
(2) The Board of Governors shall be composed of the following persons:
1. The President.
2. The Executive Director of Bible Colleges of the Pentecostal Assemblies of Canada, the District Superintendent of the Western Ontario District of the Pentecostal Assemblies of Canada, the District Superintendent of the Eastern Ontario and Quebec District of the Pentecostal Assemblies of Canada, the District Superintendent of the Maritime District of the Pentecostal Assemblies of Canada and the General Superintendent of the Pentecostal Assemblies of Newfoundland.
3. Three credentialed representatives of the Western Ontario District of the Pentecostal Assemblies of Canada, appointed by its Executive, two of whom shall be members of the Executive.
4. Three credentialed representatives of the Eastern Ontario and Quebec District of the Pentecostal Assemblies of Canada, appointed by its Executive, two of whom shall be members of the Executive.
5. One member of the Executive of the Maritime District of the Pentecostal Assemblies of Canada, appointed by its Executive.
6. One member of the Executive of the Pentecostal Assemblies of Newfoundland, appointed by its Executive.
7. Two laypersons, appointed by the Board of Governors from a slate of nominees submitted by the Executive Committee.
Citizenship
(3) At least 50 per cent of the members of the Board of Governors shall be Canadian citizens or permanent residents of Canada.
Term of office
(4) The governors described in paragraphs 3, 4, 5, 6 and 7 of subsection (2) shall hold office for a term of two years and until their successors take office.
Restriction re consecutive terms
(5) No governor described in paragraph 3, 4, 5, 6 or 7 of subsection (2) shall serve on the Board of Governors for more than eight years consecutively, but on the expiration of one year after having served on the Board of Governors for eight consecutive years, the person is again eligible to be a member of the Board of Governors.
Quorum
(6) A majority of the Board of Governors constitutes a quorum for the transaction of business.
Vacancies
(7) Where a vacancy occurs in a position on the Board of Governors described in paragraph 3, 4, 5, 6 or 7 of subsection (2), the vacancy shall be filled by the same authority that appointed the person whose membership is vacant and the person so appointed shall hold office for the remainder of the unexpired term of the person whose membership is vacant, but service on the Board of Governors for an unexpired term shall not be included in the calculation of the eight consecutive years under subsection (5).
Additional governors
(8) The Board of Governors may, by by-law, increase the number of governors to a maximum of 24.

(9) The by-law under subsection (8) shall specify who is to appoint each additional governor subject to the following:
1. Additional governors may be appointed by an Executive named in paragraph 3, 4, 5 or 6 of subsection (2) or by the Board of Governors.
2. The Board of Governors shall not appoint more than four additional governors.
3. Additional governors appointed by the Board of Governors shall be laypersons chosen from a slate of nominees submitted by the Executive Committee.
Chair, etc.
5. (1) There shall be a chair and vice-chair of the Board of Governors, a secretary and a treasurer, or a secretary-treasurer, of the Board of Governors and such other officers as the Board of Governors may determine.
Election
(2) The chair, vice-chair, secretary and treasurer (or secretary-treasurer) shall be elected by the Board of Governors from among the governors and shall hold office until their successors are elected, or until their term of office as a governor expires.
President not eligible to be chair
(3) The President is not eligible to be elected as chair of the Board of Governors.
Presiding officer
(4) The chair or, in his or her absence, the vice-chair shall preside at meetings of the Board of Governors.
Executive Committee
6. (1) There shall be an Executive Committee of the Board of Governors, composed of up to nine members of the Board of Governors, as follows:
1. The chair of the Board of Governors, who shall be the chair of the Executive Committee.
2. The vice-chair of the Board of Governors, who shall be the vice-chair of the Executive Committee.
3. The secretary or secretary-treasurer of the Board of Governors, who shall be the secretary of the Executive Committee.
4. The treasurer of the Board of Governors, if there is one.
5. The President, who shall be a non-voting member.
6. The Superintendents of each of the Western Ontario District, the Eastern Ontario and Quebec District and the Maritime District of the Pentecostal Assemblies of Canada.
7. The General Superintendent of the Pentecostal Assemblies of Newfoundland.
Additional members
(2) The Board of Governors may appoint additional governors to the Executive Committee.
Term of office
(3) The members of the Executive Committee appointed under subsection (2) shall hold office for a two-year term.
2. Section 7 of the Act is repealed and the following substituted:
Powers
7. The government, conduct, management and control of the College and its property, revenues, expenditures, business and affairs are vested in the Board of Governors and the Board of Governors has all powers necessary or convenient to perform its duties and achieve the objectives and purposes of the College including, without limiting the generality of the foregoing, the power,
(a) to enact by-laws for the conduct of its affairs;
(b) to establish and terminate programs and courses of study;
(c) to appoint, promote, suspend and remove members of faculty, academic officers and non-academic staff and to determine their remuneration;
(d) to grant tenure and leave to academic officers and members of the faculty;
(e) to establish, change and terminate academic units within the College and determine the powers and duties of any such unit;
(f) to appoint committees of the Board of Governors, in addition to the Executive Committee;
(g) to delegate to the Executive Committee and to any committee appointed under clause (f) power and authority to act for the Board of Governors with respect to any matter or class of matters, provided that where power and authority to act for the Board of Governors are delegated to a committee, a majority of the members of the committee shall be members of the Board of Governors;
(h) to conduct examinations, appoint examiners and decide all matters related to examinations and the appointment of examiners;
(i) to award fellowships, scholarships, bursaries, medals, prizes and other marks of academic achievement;
(j) to grant degrees of Bachelor of Theology, Bachelor of Religious Education, Bachelor of Sacred Music, Bachelor of Ministry, Bachelor of Missions, Bachelor of Biblical Studies, Bachelor of Cross-Cultural Studies in Ministry, Master of Cross-Cultural Studies in Ministry, Master of Theological Studies, Master of Religion, Master of Religious Education, Master of Theology, Master of Divinity, Doctor of Ministry, Doctor of Cross-Cultural Studies in Ministry, Doctor of Theology and Doctor of Divinity;
(k) to federate or affiliate the College with any other institute of higher learning;
(l) to establish and collect fees and charges for tuition and for services of any kind offered by the College and collect fees and charges on behalf of any entity, organization or element of the College;
(m) to borrow money for the purpose of the College and give security for it on such terms and in such amounts as it may deem advisable;
(n) to invest all money that comes into the College that is not required to be expended, for any purpose to which it lawfully may be applied, subject always to any express limitations or restrictions on investment powers imposed by terms of the same, in such manner as it considers proper and, except where a trust instrument otherwise directs, to combine trust money belonging to various trusts in its care into a common trust fund;
(o) to acquire, accept, solicit or receive by purchase, lease, deed, contract, donation, legacy, gift, grant, bequest, devise or otherwise, any kind of real or personal property and to enter into and carry out agreements, contracts and undertakings incidental thereto and to hold any such property, and to sell, lease, mortgage, dispose of and convey the same or any part of such property or interest in it as the Board of Governors may consider advisable;
(p) to acquire, accept, solicit or receive any gift of real or personal property, either as an annual or other contribution or as an addition to the funds of the College;
(q) to establish by by-law Christian doctrinal statements of the College which shall be adhered to by the members of the Board of Governors and the members of the faculty;
(r) to establish the fiscal year of the College;
(s) to regulate the admission of students and to set admission standards.
Commencement
3. This Act comes into force on the day it receives Royal Assent.
Short title
4. The short title of this Act is the Eastern Pentecostal Bible College Act, 1998.
